How to start a limited liability company in Dubai

Often, Limited Liability Companies are used for carrying on commercial activities like trading or manufacturing within the UAE. Branch offices are considered extensions of their parent companies and are allowed to carry out activities like those of their parent entity (subject to local activity definitions and other restrictions).

The first step is to name your company. Once you have finalized on a mainland company, get your name ready and then start with drafting the memorandum of association, the basic foundational document of any company. This paper must be an attorney-attested document.

In the case of an LLC – the number of partners must be at least 2 and cannot exceed 50. In the case of a UAE or GCC national, a single person can incorporate and hold an LLC.

When opting for company registration in Dubai, below are the steps you need to follow:

  • Depending on your needs and requirements – select the right business form, do this with the help of local advisors, given the new market you are entering.

  • Even before you start with the company registration process, it’s important to have your business name finalized.

  • Once this is done, draft and notarize the company’s Memorandum and Articles of Association.

  • Together, the documents need to be filed with Dubai’s Department of Economic Development

  • Once done, the business must register for employment purposes and obtain a VAT number

To finally start operating, the last step is just applying for one of the trading licenses which will enable you to start your business, i.e., a Commercial License – trading activities, an Industrial License – manufacturing/assembling/production, or a Professional license – service providers /professionals – accountants, artisans, beauty salon, etc.
